Phase 1: Strategic Structuring & Preparation

Phase 2: The Notarial Formation (Incorporation)

In Germany, a company is officially formed before a German notary. During this appointment, the articles of association are adopted, and the managing directors are formally appointed.

Phase 3: Capitalization & International Documentation

Once the deed is signed, the company exists "in formation" (GmbH i.G.). The newly appointed managing director must then open a corporate bank account for the shareholders to deposit the share capital.

What we do: For international founders these initial steps often lead to a bureaucratic stalemate known as the "Founder’s Paradox." It is arguably the most common and frustrating hurdle on the path to establishing a business:
Under strict KYC (Know Your Customer) and anti-money laundering regulations, banks typically demand a valid German residence permit and a local registration certificate (Meldebescheinigung) before they will open a business account. Simultaneously, the Immigration Office (Ausländerbehörde) generally only issues a residence permit once the company is officially listed in the Commercial Register.
This creates a classic "Catch-22": The company cannot be entered into the Commercial Register until the share capital has been deposited into a German business account. Without an account, there is no registration; without registration, there is no visa; and without a visa, the bank refuses to open the account. For many founders, this process feels like a dead end where institutions operate in isolation.

Phase 4: Registration with the Commercial Register
